This article describes a class action complaint. The statements below are unproven
allegations. Concorde International Group Ltd. and the other defendants have not been found liable, there is no
certified class, and nothing to claim at this time. This page is informational and is not legal advice.
A Concorde International Group investor filed a proposed securities class action against the company on March 19, 2026 in the U.S. District Court for the Southern District of New York. The case, now captioned In re Concorde International Group Securities Litigation, No. 1:26-cv-02283, is before Judge Denise L. Cote. The original complaint covers everyone who bought or otherwise acquired Concorde securities between April 21, 2025 and July 14, 2025.
Concorde is a Singapore-based security services company, incorporated in the British Virgin Islands, whose shares trade on Nasdaq under the ticker CIGL. The complaint alleges its offering documents and later statements did not disclose that its stock was the subject of a social-media stock-promotion scheme run by people impersonating financial professionals, or that shares were being sold through offshore or nominee accounts. The defendants include Concorde, chief executive and chairman Swee Kheng “Alan” Chua, former chief financial officer Sze Yin Ong, directors Terence Wing Khai Yap and Mark Allen Brisson, auditor Kreit and Chiu CPA, and IPO underwriter R.F. Lafferty & Co.
A lead plaintiff has been appointed and the defendants have begun moving to dismiss. No class has been certified, and there is no settlement, fund or claim form.

Concorde went public on April 21, 2025, selling 1.25 million shares at $4.00 each. The complaint says the offering left a very small public float while Chua held about 97.57% of the voting rights. According to the complaint, the shares then climbed to an intraday high of $31.06 on July 9, 2025, giving the company a market value of about $761 million at that day’s close.
On July 10, 2025, an article reported that pump-and-dump scammers were targeting Concorde at the market open. The complaint says the stock fell about 80% that day, to $5.66, and later fell to about $2.00.
The complaint challenges the April 2025 IPO prospectus, Concorde’s annual report filed May 15, 2025, press releases in May and June 2025, a June 27, 2025 investor presentation and the auditor’s clean opinion. It alleges those documents were misleading because they did not disclose the promotion scheme, the sales through offshore or nominee accounts, or the false rumors and artificial trading activity it says drove the price.
The claims are brought under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and SEC Rule 10b-5. None of the allegations has been tested in court. Concorde’s annual report also discloses a separate New York state court case, Johnson v. Syla Technologies Co., that brings Securities Act claims over the IPOs of about 47 companies, including Concorde.
The court set May 20, 2026 as the deadline to seek appointment as lead plaintiff and, on June 12, 2026, appointed the plaintiff who filed the case, with Scott+Scott Attorneys at Law as lead counsel. On October 2, 2026, Yap and Ong moved to dismiss. Under an October 6, 2026 order, Concorde, Chua and Brisson must answer or move to dismiss by October 23, 2026, and the lead plaintiff must file any further amended complaint or an opposition by November 13, 2026, with replies due November 30.
In its annual report filed May 12, 2026, Concorde said it believes the claims are without merit and intends to defend the matter vigorously. Members of a proposed securities class generally remain in the class without taking any action. There is no money available unless the case produces a settlement or judgment, which would come with its own notice and claim process.
Who is covered by the Concorde International Group securities class action?
The original complaint proposes a class of everyone who bought or otherwise acquired Concorde International Group securities between April 21, 2025, the day of its IPO, and July 14, 2025, inclusive. Defendants and related insiders are excluded. No class has been certified.
Is there still a lead plaintiff deadline in the Concorde case?
No. The court set May 20, 2026 as the deadline to seek appointment as lead plaintiff, and on June 12, 2026 it appointed the plaintiff who filed the case as lead plaintiff, with Scott+Scott Attorneys at Law as lead counsel. Members of a proposed securities class generally remain in the class without taking any action.
What happened to Concorde International Group stock?
According to the complaint, Concorde shares rose from the $4.00 IPO price to an intraday high of $31.06 on July 9, 2025, then fell about 80%, to $5.66, on July 10, 2025, the day an article reported that pump-and-dump scammers were targeting the stock. The complaint says the shares later fell to about $2.00.
Has Concorde International Group responded to the lawsuit?
In its annual report filed May 12, 2026, Concorde said it believes the claims are without merit and intends to defend the matter vigorously. Two individual defendants moved to dismiss on October 2, 2026, and the remaining defendants must answer or move by October 23, 2026. No court has found any defendant liable.
Is there any money available from the Concorde lawsuit?
No. There is no settlement, fund or claim form. Money would become available only through a settlement or judgment, which would come with its own court-approved notice and claim process.
